S-Corp formation

We can help you become an S-Corp

An S-Corporation is a small business corporation that lets shareholders be taxed only at the individual level for federal purposes. S-Corps carry different tax treatment than sole proprietorships and C-Corporations, along with unique rules on officer compensation and shareholder debt. If your net profit after expenses is more than $30,000 a year, forming an S-Corp usually means paying less overall than filing as a sole proprietor with self-employment tax on all of your net income.

Most of our clients are S-Corp owners. As California CPAs we know how S-Corps are treated at the state and local level, and we provide one-stop service covering incorporation, bookkeeping, tax planning and payroll.

Example: estimated tax savings

A self-employed owner with $100,000 of net income pays roughly $15,300 in self-employment tax on top of federal income tax. As an S-Corp shareholder-employee paying a $40,000 reasonable salary, the remaining $60,000 is no longer subject to SE tax — about $6,120 instead.

Estimated savings: $9,180 per year

The trade-offs to know

  • No more than 100 shareholders, no nonresident alien shareholders, one class of stock
  • Extra paperwork and state fees, including annual report or franchise tax
  • You must run payroll and pay yourself a reasonable salary subject to payroll taxes

Pricing questions

Is the tax return really included?

Yes. Every monthly bookkeeping package includes the matching annual business or personal return at no extra charge, as long as your books are with us for the full year.

What determines where my price lands?

Transaction volume, number of bank accounts, payroll headcount and how clean the current books are. We quote a flat monthly fee after a short discovery call.

When does an S-Corp make sense?

Generally once your net profit after expenses passes about $30,000 per year. Below that, the payroll and filing costs usually outweigh the self-employment tax savings.

Do you work with out-of-state clients?

Yes. We serve small business owners across the United States through a secure client portal and video meetings.

Not sure which package fits?

A 30-minute call is usually all it takes to price your engagement.
